Terms of service

These terms form an agreement between you ("Customer") and OpenGray ("we", "us", "our"). By creating a workspace account, purchasing a plan, or using the platform, you accept these terms.

1. The service

OpenGray is a web-based AI prompt testing studio, interactive evaluation playground, and workflow telemetry SaaS platform. Customers subscribe to or purchase workspace plans to run prompt evaluations, validate JSON schemas, and log workflow telemetry. We do not train models on your data and we do not guarantee any particular output for a given test case.

2. Accounts

  • You must provide accurate registration details and keep them current.
  • You are responsible for all activity performed with your workspace credentials. Treat them as passwords.
  • One person or organisation per account. Sharing credentials with unrelated third parties is not permitted.
  • You must be at least 18 years old, or have authority to bind the organisation you represent.

3. Workspace plans and billing

  • Access to evaluation capacity is provided through fixed workspace plans (Starter, Pro, Team, and Scale) purchased via our authorised Merchant of Record payment processor.
  • Each workspace plan includes a defined allocation of evaluation units used exclusively within the OpenGray platform. Evaluation units are a software quota metric; they have no cash value, are non-transferable, and are not a currency or financial instrument.
  • When your workspace allocation is reached, automated runs pause until you upgrade or renew your plan, ensuring no unexpected overage charges occur.
  • All applicable taxes (such as VAT or sales tax) are calculated and collected at checkout by our Merchant of Record.

4. Acceptable use

Your use must comply with our acceptable use policy. We may suspend an account that generates unlawful content, attempts to circumvent plan quotas, shares or redistributes workspace credentials in breach of section 5, or places disproportionate load on the platform.

5. License and restrictions

Workspace accounts and project tokens are licensed solely for your internal software development, QA testing, and application evaluation workflows. You may not sublicense, resell, or redistribute standalone workspace credentials or evaluation quotas to third parties.

6. Availability

We aim for high availability across all studio and CI endpoints. Scheduled maintenance and upstream infrastructure incidents may occasionally interrupt service. Where a documented platform incident on our side causes failed billable evaluation runs, we will restore the affected workspace quota on request.

7. Your data

Prompt and evaluation payloads are processed in memory and are not stored by us. We retain run telemetry metadata (timestamp, suite profile, token counts, latency, and status code) for dashboard analytics, support, and abuse prevention. See the privacy policy for detail.

8. Liability

The service is provided "as is". To the maximum extent permitted by law, our total liability arising from this agreement is limited to the fees you paid to us in the three months preceding the claim. We are not liable for indirect, incidental, or consequential loss, including lost profits or lost data.

9. Termination

You may stop using the service or cancel your plan at any time. You may request deletion of your account by writing to contact@open-gray.com. We may terminate or suspend access for material breach of these terms.

10. Changes to these terms

We may update these terms to reflect changes in our software or legal requirements. Material changes will be announced on this page with an updated effective date.
