Terms of service

Effective September 24, 2026

These terms form an agreement between you ("Customer") and Samuel Baker, trading as OpenGray, of 3113 Kildeer Drive, Crittenden, VA 23314, United States ("we", "us"). By creating an account or sending a request to the API you accept them.

1. The service

OpenGray provides a hosted programming interface that forwards your requests to third-party language model providers and returns their responses. We are a reseller of that capacity. We do not train models on your data and we do not guarantee any particular provider, model version or output.

2. Accounts

  • You must provide accurate registration details and keep them current.
  • You are responsible for all activity performed with your API keys. Treat them as passwords.
  • One person or organisation per account. Sharing credentials with unrelated parties is not permitted.
  • You must be at least 18 years old, or have authority to bind the organisation you represent.

3. Credits and payment

  • Access is prepaid. Credits are purchased in custom top-ups (minimum US$5.00) through our payment processor, Whop.
  • One US dollar buys 100 credits. Credits are a prepaid balance denominated in units of one US cent; they are not currency, securities or a deposit.
  • Each request is charged the credits corresponding to its metered token usage at the rates published on the pricing page.
  • Credits do not expire and are not transferable between accounts.
  • Requests are refused when your balance is exhausted. We are not liable for outages caused by an empty balance.
  • Published rates may change with 14 days' notice. Credits already purchased retain their nominal value.

4. Acceptable use

Your use must comply with our acceptable use policy and with the usage policies of the underlying providers. We may suspend an account that generates unlawful content, attempts to circumvent metering, resells access in breach of section 5, or places disproportionate load on the platform.

5. Resale and rate limits

You may build products on top of the API. You may not resell raw API access as a substantially identical gateway service without a written agreement. We may apply rate limits to protect platform stability and will tell you if we do.

6. Availability

We aim for continuous availability but offer no service level guarantee on prepaid credit plans. Upstream provider incidents, maintenance and network faults may interrupt service. Where a documented incident on our side causes failed billable requests, we will credit the affected charges on request.

7. Your data

Prompt and completion bodies are not stored by us. We retain request metadata (timestamp, model, token counts, latency, status and credits charged) for billing, support and abuse prevention. See the privacy policy for detail.

8. Liability

The service is provided "as is". To the maximum extent permitted by law our total liability arising from this agreement is limited to the credits you purchased in the three months preceding the claim. We are not liable for indirect, incidental or consequential loss, including lost profits or lost data.

Model outputs may be inaccurate. You are responsible for reviewing outputs before relying on them, particularly in legal, medical, financial or safety-critical contexts.

9. Termination

You may stop using the service at any time; there is nothing to cancel. You may request deletion of your account by writing to contact@open-gray.com. We may terminate or suspend access for material breach of these terms, with notice where practicable. Unused credits are refundable in accordance with the refund policy unless termination followed abuse.

10. Governing law

These terms are governed by the laws of the Commonwealth of Virginia, United States, and the courts of that jurisdiction have exclusive jurisdiction over any dispute.

11. Changes

We may update these terms. Material changes will be announced by email to the address on your account at least 14 days before they take effect. Continued use after that date constitutes acceptance.
